MCA replaces Form INC-22A with a web-based version (effective July 14, 2025) to streamline company verification and compliance.
The Ministry of Corporate Affairs (“MCA”), under Notification No. G.S.R. 426(E) dated June 27, 2025, has amended the Companies (Incorporation) Rules, 2014, to substitute the existing Form INC-22A (ACTIVE) with a web-based version, which has been effective as of July 14, 2025. Form INC-22A - Active Company Tagging Identities and Verification- was originally introduced to improve the accuracy of company records and enable physical verification of registered offices. The shift to a web-based format is aimed at streamlining the compliance process and facilitating online validation and verification of information through MCA’s digital interface. The revised web-based form will continue to require disclosures relating to the company’s registered office, including photographs (external and internal) showing at least one director or key managerial personnel (KMP) who has digitally signed the form, together with the latitude and longitude of the registered office. It will also require details of statutory and cost auditors, particulars of the managing director, chief executive officer, manager or whole-time director, information on all directors along with their Director Identification Numbers (DINs), and particulars of the company secretary and chief financial officer, where applicable. It is pertinent to note that companies failing to file the revised Form INC-22A within the prescribed timeline may be marked as “ACTIVE–Non Compliant” under Rule 25A, which can restrict certain subsequent filings. Companies are advised to ensure that the Digital Signature Certificate (DSC) of the authorised signatory is valid and that MCA records are up to date before initiating the web-based filing
